What is QUORUM?
A quorum is the minimum number of members required at a meeting for the decisions voted on are valid. If the quorum is not reached, the vote cannot take place at the meeting then the decision cannot be taken and the status quo will be maintained.
What types of meetings use quorum?
Quorum is mainly used at board meetings, general meetings of shareholders, an assembly of company members, or any structured meeting based on laws.
How is the quorum calculated?
A majority is reached when it is greater than half of the members present at the meeting.
Example:
10 members present: 10 /2 = 5, the majority will be 6 votes
13 members present: 13/2=6.5, the majority will be 7 votes
Validate the quorum
At the beginning of your meeting, it is important to ensure that you have the necessary quorum to continue the meeting. If it is not reached, you can schedule a second meeting (adjournment). You must maintain a quorum throughout the meeting for the validity of this meeting to deliberate and make decisions.
The terms of the quorum
In your minutes, some terms may be relevant to use when referring to a quorum:
A quorum is present….
The quorum shall consist of…
A quorum was reached….
A quorum shall constitute of…
Instead of mentioning quorum, the term “in number” could very well replace this word.
